Trading Terms

1. Professional Services Agreement

These Trading Terms form the basis of the contractual relationship between Temple Court Solicitors and our clients. By instructing us to act on your behalf, you confirm your acceptance of and agreement to be bound by these terms.

2. Fees and Payment

2.1 Fee Structure

Our professional fees are calculated with reference to several key factors, including:

  • The nature, complexity, and urgency of the matter;
  • The time reasonably spent in delivering the legal service;
  • The level of seniority and expertise required to undertake the work.

We will endeavour to provide you with a clear estimate of fees at the commencement of your matter. In certain matters, fixed fees or capped fee arrangements may be agreed upon in writing.

2.2 Payment Terms

All invoices issued by Temple Court Solicitors are payable within 14 calendar days of the invoice date, unless otherwise agreed in writing.

We accept payment via bank transfer, credit or debit card, and cheque. In specific circumstances, we may request payment on account of future costs, including an initial deposit or retainer, before commencing or continuing with the provision of services.

2.3 Late Payments

If payment is not received by the due date, we reserve the right to charge interest on any outstanding sums at the rate of 8% per annum above the Bank of England base rate. Continued default may result in suspension or termination of our services.

3. Client Responsibilities

Clients are expected to cooperate fully in the conduct of their matter, which includes:

  • Providing accurate, complete, and timely information relevant to the legal matter;
  • Responding promptly to requests for documentation, instructions, or clarification;
  • Notifying us of any material changes in circumstances relevant to your matter.

Failure to meet these responsibilities may affect the progress and outcome of your case and may result in additional costs or termination of services.

4. Confidentiality

All information and documentation provided to us in connection with your matter will be treated in the strictest confidence and in accordance with our professional and regulatory obligations.

Disclosure of client information will only occur in the following circumstances:

  • Where disclosure is required by law, court order, or regulatory authority;
  • Where you provide express written consent;

5. Termination of Services

5.1 Termination by Either Party

You may terminate your instructions to us at any time by giving written notice. We may also choose to cease acting on your behalf by giving written notice, subject to compliance with professional conduct obligations.

In all cases of termination, you remain liable for all fees and disbursements incurred up to the date of termination, including any costs associated with the transfer of your file to another adviser.

5.2 Termination by Temple Court Solicitors

We reserve the right to cease acting for you immediately and without further notice in circumstances that may include but are not limited to:

  • Failure to pay fees or comply with agreed payment terms;
  • Provision of false, misleading, or incomplete information;
  • A breakdown of trust or confidence;
  • A failure to follow our reasonable and professional legal advice.

6. Limitation of Liability

Our liability to you for any loss or damage arising from negligence, breach of contract, or otherwise is limited to the level of cover provided under our professional indemnity insurance in place at the time the claim arises. Full details of our cover can be provided upon request.

Temple Court Solicitors shall not be liable for any indirect, consequential, or incidental losses, including loss of profit, income, or anticipated savings, however caused.

7. Governing Law and Jurisdiction

These Trading Terms and any contractual or non-contractual obligations arising from our engagement are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Amendments to Terms

Temple Court Solicitors reserves the right to vary or amend these terms of business from time to time. Clients will be notified of any material or significant changes in writing.
